1.Scope
These General Terms and Conditions (“Terms”) apply to all sales of manufactured lightings and furniture items (the “Products”) and related services including but not limited to shop drawings, pre-sales drawings, design consultancy and installation (the “Services”) by JMW Studio (“the Seller”) to any purchaser (“the Buyer”).
Deviations or additional terms proposed by the Buyer shall only apply if expressly accepted in writing by the Seller.
2.Orders and Acceptance
All offers by the Seller are non-binding until confirmed by a formal written quotation. Quotations are valid for two months.
No order can be accepted unless a quote is issued by the Seller. All orders must be confirmed by the Buyer in writing, by acceptance and signature of the Seller’s quote.
Any alterations or deviations from the initial specifications will be executed only upon written orders and may be subject to additional charges and lead time.
Cancellation by the Buyer after production begins will forfeit the deposit.
Rush orders will be assessed with an additional rush fee.
3.Prices and Payment
Prices are quoted in Euro, exclusive of VAT, sales tax, duties, packaging, shipping, delivery costs, and installation unless otherwise stated.
When an order is confirmed, the Seller will issue a deposit invoice of 50% of total price (100% for Services or single item orders, excluding chandeliers).
A final invoice showing balance due will be issued on completion of order. Full payment, including taxes, crating, storage penalties and any applicable fees, is due to release the Products.
Currency and conditions of payment stated on the official quote, if different from the above, will prevail.
Currency exchange and all banking fees are the responsibility of the Buyer (transfer fees must be set to “OUR”).
The Seller does not supply storage facilities. A one-month grace period can be offered from completion date, after which a fixed storage and handling allowance of €300 per Product per week will be applied.
In case of late payment, the Seller may charge interest at ECB key rate increased by 10 points, plus a compensation of €40 for recovery costs.
4.Lead time
Deposit (or full payment when applicable) and all pertinent information are required before production can begin.
The Seller standard lead time is 16 weeks, not including workshop closures (+4 weeks in August, +2 weeks in December), and crating if option is chosen (+5 working days).
Lead times will vary depending on Product, availability of materials and current production schedule. All quoted completion dates are non-binding and cannot be guaranteed until production commences.
Any Buyer feedback or approval, if applicable, will affect lead time.
Seller’s client presentations submitted for edits, comments or approval must be reviewed and sent back to the Seller within 5 working days or less from receipt of initial drawings. Approved drawings must be signed, dated and received by the Seller to start production.
In most cases, fixtures are not adjustable on site.
Once production has begun, any change in colour direction, design aspects or finishes can affect lead time.
Shipping and transport time is additional: the Seller is not responsible for any delays that may arise at Customs and border control.
Delays shall not entitle the Buyer to cancel the order or claim damages unless expressly agreed.
5.Packing, Crating, Delivery and Transfer of Risk
The Seller can provide a packing and hard-crating service. Custom crates are compliant with international transport standards. Insurance is not provided with the purchase of crates.
If crating option is selected, it is the responsibility of the Buyer to communicate delivery site restrictions that may impact crate size and determine compatibility with entry doors and/or elevators. The Seller does not accept responsibility where on-site conditions and limitations prevent final delivery of the Products.
The Seller can propose transport services to the Buyer. Where the Seller proposes transport, such transport shall be subject to the Seller's standard delivery options and shall be arranged in consultation with the Buyer. The Seller may use its own vehicles or appoint a third-party carrier at its discretion. Risk of loss or damage to the Products passes to the Buyer at the earlier of: (a) delivery of the Products to the agreed delivery address; or (b) handover of the Products to the transport provider if the Buyer has requested its own carrier (incoterms EXW).
Delivery address must match the details provided in any export documents.
Any delivery or shipping dates provided are estimates only. The Seller shall not be liable for delays in transport or delivery caused by circumstances beyond its reasonable control, including but not limited to carrier delays, customs clearance, strikes, or adverse weather.
6.Inspection and Claims
The Buyer must inspect the Products immediately upon delivery.
Any damages, shortages, defects or discrepancies must be reported in writing, including photos showing the damages, and sent to the Seller (and to the Buyer’s freight carrier if applicable) within 24 hours of delivery.
If agreed with the Seller, damaged Products must be packed and returned in their original packing material.
If no notice is given within the stated period, the Products shall be deemed accepted in perfect condition.
7.Warranties and Liability
The Seller warrants that the Products are free from material defects in workmanship and conform to the agreed specifications at the time of delivery.
This warranty does not extend to damage resulting from shipping, faulty installation, accident, misuse, tampering, alteration, negligence, or abuse, nor does it apply to unauthorized repairs.
The warranty runs for two years, from the date of the final invoice to the first owner.
Natural variations in glass (including bubbles, textures, minor differences in color density) and variations in metal patinas are inherent qualities of hand-made fabrication and are not to be considered as defects.
The Seller’s liability is limited to repair, replacement, or refund at its discretion.
The Seller is not liable for indirect, consequential, or incidental damages including loss of profit, business, or goodwill.
8.Retention of Title
Title to Products remains with the Seller until full payment has been received.
9.Intellectual Property
All intellectual property rights in designs, drawings, catalogues, or images of the Products remain with the Seller.
The Buyer may not copy, reproduce, or distribute such materials without prior written consent from the Seller.
10.Designs and Dimensions
Design details are subject to change without notice.
All dimensions are approximate. Glass samples and images provided as support in the sales process are non-contractual. Due to the free hand-blown nature of the pieces, variations in form, dimensions, and weight are to be expected. These natural differences from standard dimensions are not considered defects.
Slight and natural variations in the color will be present. Filigrane pattern and sequence is unique to each individual piece.
Custom colour/creative development relies on the Seller’s expertise, and by engaging in the process, the client acknowledges these inherent characteristics and limitations and entrusts artistic discretion to the Seller.
Colour outcomes in handblown glass are inherently variable.
Exact matches to swatches or digital references are not guaranteed.
For filigrane patterns, discretion in cane motif, selection and sequence rests solely with the Seller.
Feedback following the initial sample will be considered, but further samples will not be produced without additional fees.
Major changes post-approval will result in revised pricing and timeline.
11.Returns
All Products are non-returnable. All sales are final and returns or exchanges will not be accepted based on visual variations.
If there are circumstances that require the Seller to accept a return, the Products must be in resalable condition. Authorized returns must be shipped in accordance with shipping instructions issued by the Seller.
12.After-Sales Service
The Seller may provide after-sales services, including installation guidance, maintenance advice, and repair support, subject to separate service terms or charges applicable.
Replacement parts or repair services requested outside the warranty period and scope shall be chargeable at the Seller’s prevailing rates.
All requests for repair, modification, or replacement must be accompanied by the original project reference and Seller’s invoice number to allow the Seller to provide a quotation.
On acceptance of the price, the Buyer will return the original Product and will be responsible for repacking and shipping, at his own expense.
The Seller will not be responsible for any damage occurring during transport.
13.Force Majeure
The Seller shall not be liable for delays or failure due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, supply shortages, or transport delays.
14.Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of France.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France.
15.Miscellaneous
If any provision of these Terms is found invalid, the remaining provisions shall remain enforceable.
Failure by the Seller to enforce any right shall not constitute a waiver of that right.
